NanJi E-Commerce Co., LTD to acquire ROK clothing brands with RMB500 mln

BEIJING, Dec. 28 (Xinhua) -- Listed Chinese company NanJi E-Commerce Co., LTD (002127.SZ) announced on December 26 its plans to purchase partial trademarks of TBH GLOBAL CO., LTD in mainland China and Hong Kong with 330 million yuan and all the stakes of Basic House which are holding by TBH Hong Kong Limited with 180 million yuan, reported stcn.com.
NanJi E-Commerce Co., LTD mainly engages in digital marketing, brand management, and industrial supply chain services.
According to this announcement, TBH GLOBAL CO.,LTD is a garment company in the Republic of Korea (ROK). It has 78 traded brands, with 74 registered in mainland China and 4 in Hong Kong, including famous women's fashion brands in ROK like Basic House, Mind Bridge and JUCY JUDY.
Founded in 2004 with a registered capital of 65.4 million U.S. dollars, Basic House is dedicated to wholesale, import and export and retail sale of clothing and accessories. In the first three quarters of this year, it generated a revenue of 966 million yuan, with a net loss of 66.7513 million yuan, a total asset of 900 million yuan and a net asset of -339 million yuan.
According to NanJi E-Commerce Co., LTD, the rise of content e-commerce sheds light on the value of some famous and distinctive brands, and the acquisition of such brands will help the company build its brand system. Meanwhile, NanJi E-Commerce Co., LTD is relatively weak in research and development, production and quality management, which can be complemented by Basic House so that the company can better prepare for integrated production, marketing and research control in the future, and provide consumers with high-quality, distinctive and inexpensive goods.
Recently, NanJi E-Commerce Co., LTD has taken proactive actions to build a brand matrix. On July 3, it announced to establish a joint venture together with the international fashion retail brand C&A, with a 60 percent of ownership controlled by NanJi E-Commerce Co., LTD. The joint venture will have the right to use C&A trademark online in China and be in charge of all online business of C&A in China.
